New Hope Corporation
Advising on the acquisition of an 80 percent interest in the Bengalla Joint Venture for $1.75 billion from Rio Tinto, Wesfarmers, and Mitsui. Also advising on the acquisition of the Burton Mine and related infrastructure to the Lenton Joint Venture.
New Hope Corporation Limited reached a binding commitment with Wesfarmers Limited to purchase a further 40 percent interest in the Bengalla Joint Venture for $860 million.
Viralytics Limited
Advising on its acquisition by Merck & Co, known as Merck Sharp and Dohme outside of North America. This transaction “carries the greatest sum ever offered for a local drug developer in the commercial history of Australian biotech.
Mackay Sugar Limited
Advising on a recapitalisation and investment by German sugar manufacturer, Nordzucker AG. Nordzucker AG acquired a 70 percent controlling interest in the share capital of Mackay Sugar through an investment of equity and debt of $120 million. Also advising Mackay Sugar on the refinancing of its existing $200+ million senior debt with Rabobank and NAB.

Advised on the acquisition of My Plan Manager group, a leading NDIS plan manager business and Fullerton Health Corporate Services, a third party administration solutions business.
Over the Wire Holdings
Advising on a capital raising and double acquisition of Access Digital Networks and Comlinx. The simultaneous execution of this deal involved a high degree of collaboration between the McCullough Robertson team, OTW’s management, and counter-parties. OTW agreed to acquire the two targets for $34.5 million.
Sojitz Corporation
Advising international client, Sojitz, on the acquisition of the Gregory Crinum Coalmine, including negotiating the transaction and funding documents.
River City Labs
Advising on the sale of startup accelerator River City Labs to the ICT professional association, Australian Computer Society (ACS). River City Labs Group fosters the growth of tech startups and scale-ups in Queensland. The sale also includes Startup Catalyst, which conducts missions to Silicon Valley and other international startup hotspots.
Macquarie Bank
Advised on the sale of their auto dealer finance business, the acquisition of substantial mortgage loan portfolios, the acquisition and sale of an insurance premium funding business and various other investments, acquisitions and sales, particularly in the fintech sector.
DoseMe Holdings Pty Ltd
Advising DoseMe US tax and legal teams to provide advice to the company and its Australian shareholders with respect to the negotiation and sale of shares to TabulaRasa Healthcare, a company listed on the NASDAQ.
